• Engaging in any conduct that, in our sole judgment, restricts or inhibits any other user from using or enjoying the Services.

Violation of any of the above prohibited activities may result in immediate termination of your account, cancellation of pending orders, and potential legal action where warranted.

4. Intellectual Property Rights

All content available on or through the Site, including but not limited to text, graphics, logos, images, photographs, menu descriptions, audio clips, digital downloads, data compilations, software, and the overall look and feel of the Site (collectively, "Content"), is the exclusive property of Giordanos or its content suppliers and is protected by United States and international intellectual property laws, including copyright, trademark, trade dress, and other applicable laws.

The Giordanos name, logo, and all related product and service names, design marks, and slogans are trademarks and service marks of Giordanos. You are not permitted to use these marks without our prior written permission. All other trademarks, service marks, and logos used on our Site are the property of their respective owners.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, non-commercial use in connection with placing food orders and utilizing our Services. This license does not include:

If your order is cancelled after payment has been processed, we will issue a full refund to your original payment method within a reasonable time frame.

We are not responsible for delays caused by such factors.

You agree to ensure that someone is available to receive the delivery at the designated address. If no one is available to receive the order, we reserve the right to leave the order at the door (at your risk) or return the order, in which case you may not be eligible for a refund of delivery fees.

Risk of loss and title for items ordered through our Site passes to you upon delivery of the items to your designated delivery address.

8. Disclaimers and "As-Is" Basis

• WARRANTIES AS TO THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT ON THE SITE;
• WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES.

Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL GIORDANOS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES;
• DAMAGES ARISING FROM YOUR ACCESS TO OR INABILITY TO ACCESS THE SITE OR SERVICES;
• DAMAGES ARISING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM ANY THIRD-PARTY CONTENT OR CONDUCT ON THE SITE;

EVEN IF GIORDANOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO GIORDANOS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Giordanos and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, employees, and licensors (collectively, "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and court costs) arising out of or related to:

• Your access to or use of the Site and Services;
• Your violation of any provision of these Terms;
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right;
• Your violation of any applicable federal, state, or local law, regulation, or ordinance;
• Any claim or allegation that your conduct caused damage to a third party;
• Any content or information you submit, post, transmit, or make available through the Services;
• Your use of or reliance on any food items ordered through the Site.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses. This indemnification obligation shall survive the termination of these Terms and your use of the Services.

We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or your use of the Services, shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Giordanos operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and Giordanos arising out of or related to these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such proceeding in such courts.

These Terms are also subject to applicable federal consumer protection laws, including those enforced by the Federal Trade Commission (FTC Act, 15 U.S.C. § 45), and any applicable state consumer protection statutes.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us and attempt to resolve the dispute informally. Please send a written notice of your dispute to [email protected] describing the nature of the dispute and the relief you are seeking. We will attempt to resolve the dispute within thirty (30) days of receiving your notice. If the dispute is not resolved within this period, either party may proceed to formal dispute resolution as set forth below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, and except as otherwise provided herein, you and Giordanos agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration on an individual basis, rather than in court. The arbitration shall be conducted by a recognized arbitration organization under its applicable rules and procedures.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You and Giordanos agree to waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

14.3 Class Action Waiver

YOU AND GIORDANOS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Giordanos agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you continue to access or use our Site or Services. We reserve the right, in our sole discretion, to:

• Terminate or suspend your access to the Site or Services at any time, with or without cause, and with or without notice;
• Terminate or suspend your account if you violate any provision of these Terms;
• Terminate or suspend your account if we suspect fraudulent, abusive, or illegal activity;

In such events, our obligations shall be suspended for the duration of the force majeure event, and we will use commercially reasonable efforts to resume normal operations as soon as practicable.
